Agreement to Terms

These Terms & Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and TaskPaper ("we," "us," or "our"), concerning your access to and use of the TaskPaper mobile application (the "App").

You agree that by accessing the App, you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the App and you must discontinue use immediately.

Definitions

User Accounts

To use certain features of the App, you may be required to create an account using Google Authentication. You agree to:

• Provide accurate, current, and complete information during the registration process
• Maintain the security of your password and accept all risks of unauthorized access to your account
• Promptly notify us if you discover or suspect any security breaches related to the App
• Take responsibility for all activities that occur under your account

We reserve the right to disable any user account at our sole discretion, including if we determine that you have violated any provision of these Terms.

Intellectual Property Rights

The App and its original content, features, and functionality are owned by TaskPaper and are protected by international copyright, trademark, and other intellectual property laws.

User Responsibilities

You agree not to use the App to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Create, upload, or share content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Attempt to gain unauthorized access to any portion of the Service
• Interfere with or disrupt the App or servers connected to the App

Third-Party Services

The App uses the following third-party services:

• Google Authentication: For secure user account creation and login
• Google Analytics: For app usage analytics and improvement
• Microsoft Clarity: For user behavior analytics

Your use of these third-party services is governed by their respective terms and privacy policies:

Disclaimer of Warranties

The App is provided on an "AS IS" and "AS AVAILABLE" basis. TaskPaper disclaims all warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The App will function uninterrupted, secure, or available at any particular time or location
• Any errors or defects will be corrected
• The App is free of viruses or other harmful components
• The results of using the App will meet your requirements

Limitation of Liability

To the maximum extent permitted by applicable law, TaskPaper shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

1. Your access to or use of or inability to access or use the App
2. Any conduct or content of any third party on the App
3. Any content obtained from the App
4. Unauthorized access, use, or alteration of your transmissions or content

This limitation of liability applies regardless of the legal theory on which the claim is based.

Indemnification

You agree to defend, indemnify, and hold harmless TaskPaper and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses, resulting from or arising out of:

• Your use and access of the App
• Your violation of these Terms
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right

Termination

We may terminate or suspend your account and bar access to the App immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the App will cease immediately. If you wish to terminate your account, you may simply discontinue using the App or delete the App from your device.

Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our App after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the App.
